In any event, the offeror shall offer a cash consideration at least as an alternative where he/she or persons acting in concert with him/her, over a period beginning at the same time as the period determined by the Member State in accordance with paragraph 4 and ending when the offer closes for acceptance, has purchased for cash securities carrying 5 % or more of the voting rights in the offeree company.
En tout état de cause, l'offrant propose, au moins à titre d'option, une contrepartie en espèces lorsque lui-même ou des personnes agissant de concert avec lui, au cours d'une période commençant au même moment que la période déterminée par l'État membre en application du paragraphe 4 et prenant fin à l'expiration de la période d'acceptation de l'offre, ont acquis contre des espèces des titres conférant 5 % ou plus des droits de vote de la société visée.
