Das Versäumnis, die Kriterien für den Schutz des angeblichen öffentlichen Interesses im Voraus und in aller Klarheit für das Genehmigungsverfahren festzulegen und nach dem Antrag von Autostrade und ASPI eine Genehmigungsentscheidung zu erlassen, staatliche Maßnahmen im Sinne von Artikel 21 der Fusionskontrollverordnung darstellen, die dazu beigetragen haben, den Vollzug eines Zusammenschlusses von gemeinschaftsweiter Bedeutung de facto zu verhindern oder zumindest in erheblichem Maße zu erschweren.
