The purpose of the Directive is to fill to a significant gap in company law and to facilitate cross-border mergers of companies with share capital in the Community. As Community law now stands, the differences between the national laws applicable to companies which intend to merge constitute a barrier to cross-border mergers.

Save as otherwise provided in this Directive, each company taking part in a cross-border merger shall be governed, as far as the merger formalities are concerned, by the provisions of national law to which it is subject that apply to mergers of this type of company with other companies with share capital subject to the same national law.
